Quick Answer

To tokenise company shares is to issue equity, or fund units, as digital tokens on a blockchain. Ownership lives on a shared ledger, so cap tables stay clean and current, smaller investors can take part, and positions that were locked up for years can trade far more easily.

Tokenised equity and funds have been one of the fastest growing corners of the whole tokenisation market. Here is how it works and what makes it compliant.

Private equity has a paperwork problem. Ownership is tracked in spreadsheets and share certificates, transfers are slow and lawyer-heavy, cap tables drift out of date, and investors are often locked in with no realistic way to exit until a sale or listing years down the line. For a private company or a fund, tokenising the shares rebuilds that whole layer on cleaner rails.

What it means to tokenise shares

When you tokenise equity, each share or unit is represented by a token on a blockchain, a shared ledger anyone permitted can verify and no single party can quietly alter. Holding the token means holding the share, with the rights that come with it. The cap table becomes the ledger itself, always current, and transfers happen as token movements rather than reams of paperwork.

This applies to private company shares, fund and venture stakes, and it extends into tokenised money market funds and treasuries, which is where some of the largest institutional activity has happened as major asset managers moved products on-chain.

Why it is attractive

A live cap table. Ownership is always up to date because it is the ledger, which removes a huge amount of administration and error.

Wider access. Rounds that were only open to a small circle can, within the rules, admit more and smaller investors, because fractional units and low transfer friction make small positions practical.

Secondary liquidity. Investors who were locked in until an exit can, where the structure and regulation allow, trade their position, which makes private equity far less of a one-way door.

Faster settlement. Transfers settle in minutes rather than through a slow manual process.

This is securities territory, so compliance leads

Tokenised shares are securities, full stop, and that is the single most important thing to get right. A serious platform builds in who is allowed to hold the tokens, identity and anti-money-laundering checks, accreditation where required, transfer restrictions, and the reporting regulators expect. In Europe the MiCA framework and existing securities law shape the design. This is exactly the institutional, compliance-first approach we take, the same thinking behind PRELISTD’s tokenised real estate work. A tokenised equity that treats compliance as an afterthought is not an investment product, it is a legal problem waiting to happen.

Choosing the chain

Equity platforms weigh predictable low fees, permissioned transfer controls and, often, secondary-market liquidity. Some favour Ethereum for its deep liquidity and mature security-token standards, others favour enterprise chains like Hedera for cost and governance. We are chain-agnostic and choose per project, which we break down in Hedera vs Ethereum for tokenisation.

Thinking about tokenising equity or a fund?

If you run a company, a fund or a platform and you are looking at tokenised shares, the questions to get right are the securities structure, the compliance controls and the chain. We help clients work through all three. See the wider picture in what can be tokenised, explore our asset tokenisation work, or talk to us.
