What Prelistd wanted

Prelistd is a private property investment platform built to open up US property deals that had always been a closed club. Big minimums, the right contacts and a wall of paperwork kept most people out of deals that were, in every other sense, sound investments. Prelistd wanted to open the door to more qualified investors without cutting any corners on the legal side. The brief covered the whole investor experience, from browsing a deal to backing one.

The problem worth naming

Private placements stay closed for a reason, and it is not because nobody wants in. Opening them up properly means solving the compliance problem, not just the interface problem. Every investor coming through the door has to be checked against Reg D and Reg S rules before they can buy in. Every position has to be recorded clearly enough that ownership is never in doubt, next to the actual legal paperwork rather than instead of it. And investors need a way to move a position on before a deal completes, without turning the whole thing into an open market a regulator would take issue with. Get any one of those wrong and there is no platform, just a website with a compliance problem.

What we built

We designed and built the investor experience end to end, from browsing deals to backing one. Four things sit underneath that:

  • Digital ownership records — clear, tamper-resistant records of what each investor owns, held alongside the formal legal documents rather than in place of them.
  • Compliant onboarding — identity and eligibility checks built into signup, structured around Reg D and Reg S rules.
  • Deal management — each project runs through its own vehicle, with position tracking and updates in one place.
  • Controlled resale — an approved, private way for investors to transfer a position before a project completes.

How it was made

The onboarding and the ownership records are where most of the work sits, because they are what let Prelistd say yes to more investors without saying yes to risk it cannot manage. Eligibility checks run at the point someone tries to invest, tied to Reg D and Reg S rather than bolted on after the fact. Ownership records are built to be tamper-resistant and to sit next to the legal paperwork, not to replace it, because a private property deal is still, underneath everything, a set of legal documents that have to hold up. Resale works on the same principle: approved and private rather than an open exchange, because that is the line a Reg D or Reg S structure has to hold if it wants to stay one.

What happened

Prelistd is live. The first deal listed on the platform is 24 waterfront homes, structured to be Reg D and Reg S compliant by design, with delivery due in 2027. It is a platform built to get institutional-grade property deals in front of more investors, properly, rather than a shortcut around the paperwork that makes those deals safe to be in.
